Mobile Toilet Purchase and Sale Contract

Admin October 03, 2026

The mobile toilet purchase and sale contract is a written agreement that clarifies the rights and obligations of both the buyer and the seller. The following are the core contents and key points of the contract:

I. Contract Parties and Basic Terms The contract should clearly state the full names, addresses, and contact information of Party A and Party B. It should also specify that the contract is signed in accordance with the Civil Code of the People's Republic of China and relevant laws and regulations. The contract shall come into effect upon the signatures (or seals) of both parties. It shall be made in duplicate, with each party holding one copy. The appendices have the same legal effect as the contract.

II. Core Product Terms

  1. Product Details: The model specifications, quantity, and price should be clearly defined. The price should be a fixed total price, covering all costs such as equipment fees, transportation fees, installation and commissioning fees, and taxes.
  2. Quality Standards: The product must comply with national and industry standards and be accompanied by a quality inspection certificate. The materials, specifications, and performance should meet Party A's requirements, such as wall materials, dimensions, and waterproof and fireproof ratings. The warranty period is usually a certain period after acceptance. During this period, free repairs and replacements are provided, and lifelong paid services are offered after the period.

III. Delivery and Installation Terms

  1. Delivery Time: Delivery should be completed within a certain number of working days after the contract is signed.
  2. Delivery Location: The specific address should be clearly stated.
  3. Transportation Risks: Party B shall bear the transportation risks. Any damage or loss should be promptly repaired or replenished.
  4. Installation and Commissioning: Party B should complete the installation and commissioning within a certain number of working days after the goods arrive, with Party A providing necessary assistance. Acceptance is deemed completed upon successful installation and commissioning, and the acceptance standards are based on Article II of the contract.

IV. Payment and Acceptance Terms

  1. Payment Method: Payment is usually made in three stages: an advance payment (a certain proportion after the contract is signed), an acceptance payment (a large portion of the payment is made after successful installation and commissioning), and a quality guarantee deposit (the remaining payment is made after the warranty period expires without any quality issues). Party B should provide legal invoices; otherwise, Party A has the right to refuse payment.
  2. Acceptance Standards: Acceptance should be carried out in accordance with the quality standards specified in the contract within a certain period after installation. Any losses due to non-compliance with the acceptance standards shall be borne by Party B.

V. Breach of Contract and Termination Terms

  1. Breach of Contract Liability: If Party B fails to supply the goods or complete the installation and commissioning on schedule, Party A may disqualify Party B and claim compensation for losses.
  2. Contract Termination: Party A has the right to unilaterally terminate the contract in cases where Party B fails to perform its obligations, goes bankrupt, unilaterally changes the bid price or service commitments, or engages in fraud.

VI. Dispute Resolution Terms Disputes should be resolved through negotiation first. If negotiation fails, a lawsuit can be filed with the court at the place where the contract is signed.

The contract terms should be adjusted according to actual needs, and it is recommended to have the contract reviewed by legal professionals before signing.
