Purchase Contract for Foldable Container Houses
The purchase contract for foldable container houses should include the following key elements to ensure complete contract terms and clear rights and obligations:

I. Contract Subject The quantity, specifications, model numbers, and detailed technical parameters of the foldable container houses to be purchased must be specified, including the steel grade of the main frame (e.g., Q235B), wall thickness (e.g., 3.0mm for the bottom beam and 2.5mm for the corner posts), galvanizing method (must specify hot-dip galvanizing with a coating thickness of ≥60μm); wall panel core material type (e.g., Class A rock wool), fire rating, thickness (e.g., 50mm), and bulk density (e.g., 80kg/m³); roof waterproofing structure (e.g., 0.8mm Baosteel color steel plate with double-snap seal); floor material (e.g., non-slip checkered steel plate); door and window types (e.g., thermal-break aluminum doors and windows, tempered glass), etc. All parameters must be attached as a detailed list in the annex to avoid vague descriptions.
II. Price and Payment Terms
- Total Contract Price: The tax-inclusive amount and its written expression (e.g., 'RMB XX yuan only') must be specified, along with whether transportation and installation costs are included.
- Payment Milestones: Typically divided into three steps:
- Advance Payment: 30% of the total contract price shall be paid within 3 working days after contract signing;
- Progress Payment: 50% shall be paid after the goods are produced and preliminarily accepted by Party A;
- Final Payment: The remaining 20% shall be paid within 7 working days after acceptance.
- Invoice Requirements: Party B must issue an equivalent value-added tax special invoice within X days after receiving payment; otherwise, Party A has the right to suspend payment.
III. Delivery and Transportation
- Delivery Time: The specific date (e.g., 'within 25 days after contract signing') or cycle (e.g., 'delivered in two batches, the first batch in 15 days and the remaining in 10 days') must be specified.
- Transportation Responsibility: Party B is responsible for delivering the goods to the location designated by Party A (the address must be specified) and bears the transportation, loading/unloading, and insurance costs.
- Packaging Method: It is recommended to use iron frame packaging to prevent磕碰 (磕碰: bumps and collisions) during sea or land transportation and specify the folded dimensions (e.g., length 605cm × width 243cm × height 259cm) and loading capacity (e.g., '8 sets can be loaded in a 40-foot high cube container').
IV. Acceptance Criteria and Warranty
- Acceptance Basis: The contract technical parameters, relevant national standards (e.g., GB/T 19816.1-2005), and the acceptance certificate signed by both parties shall prevail. Party A must complete the inspection within 7 days after delivery; failure to raise objections within this period shall be deemed as acceptance.
- Quality Issue Handling: If issues such as rough materials, exposed filler, or damaged doors and windows are found during acceptance, Party A has the right to request a return, replacement, or termination of the contract, and Party B must refund the paid amount and bear liability for breach of contract.
- Warranty Period: Calculated from the date of acceptance for 1 year, with a 5-year warranty for the waterproof layer. During the warranty period, Party B must repair or replace damaged parts free of charge.
V. Liability for Breach of Contract
- Late Delivery: Party B must pay a penalty of 5‰ of the total contract price for each day of delay; if the delay exceeds 7 days, Party A has the right to terminate the contract and claim damages (e.g., rental losses, price difference losses).
- Late Payment: If Party A fails to pay on time, a late fee of 0.1% of the payable amount per day shall be paid.
VI. Dispute Resolution Both parties shall prioritize friendly negotiation to resolve disputes; if negotiation fails, a lawsuit may be filed with the people's court at the place where the contract is signed.
VII. Other Clauses
- Any matters not covered in the contract may be addressed in a supplementary agreement, which shall have equal legal effect with this contract.
- This contract is made in duplicate, with each party holding one copy, and shall take effect upon signature and seal by both parties.
Note: Contract terms should be adjusted according to actual transaction needs and are recommended to be reviewed by legal professionals before signing to avoid risks.
