Customized Container House Contract

Admin 16 de septiembre de 2026

A customized container house contract generally falls under a contract for work, but in specific circumstances, it may be classified as a construction engineering contract, which requires a comprehensive assessment based on the contract content and its performance.

Basis for Determining Contract Nature

According to the Civil Code, a contract for work is an agreement where the contractor completes work and delivers the results as required by the client, and the client pays remuneration. A construction engineering contract is an agreement where the contractor undertakes construction work, and the employer pays the price, covering activities such as the construction of buildings and their ancillary facilities, as well as the installation of supporting pipelines and equipment. The core difference between the two lies in the subject matter of the contract: a contract for work takes a specific work result as its subject matter, while a construction engineering contract takes a "construction project" as its subject matter, with the latter subject to stricter mandatory supervision.

Criteria for Determination in Judicial Practice

In judicial practice, if the primary obligation of the contract is to "construct a container house," even if it is named a "sales contract," it may still be classified as a construction engineering contract. For example, in the case of the "Container Sales Contract" signed between Jiangxi Wu Company and Guangdong Chuang Company, although it stipulated the provision of prefabricated containers and installation services, the court held that the essence of the contract was the construction of a container house, falling within the scope of construction projects, and thus jurisdiction should be determined based on real estate disputes. Conversely, if the contract primarily involves equipment supply with installation as a secondary aspect, and the installation does not involve the construction of buildings and their ancillary facilities, it is more likely to be classified as a contract for work.

Suggestions for Contract Clause Design

To avoid disputes, the contract should clearly specify its nature and the rights and obligations of both parties:

  • Clarify the subject matter of the contract: Provide a detailed description of the design, specifications, materials, etc., of the container house, emphasizing its customized nature.
  • Distinguish between supply and installation obligations: If installation is included, clarify whether it involves the construction of buildings and their ancillary facilities to avoid being classified as a construction project.
  • Agree on dispute resolution methods: Both parties can negotiate to choose arbitration or litigation and specify the competent court or arbitration institution.
