Sale and Purchase Contract for Mobile Toilets
The sale and purchase contract for mobile toilets should include the following key elements:

I. Contract Subject Information Clearly specify the names, legal representatives, addresses, and contact information of both parties (the seller and the buyer) to ensure the contract's subjects are legally valid. For example, the seller (Party A) must possess the right to sell mobile toilets, and the buyer (Party B) must have a clear purchasing need and the ability to fulfill the contract.
II. Product Details
- Specifications and Quantity: Indicate the specific model, specifications (such as dimensions, materials, and internal facility layout), and quantity of the mobile toilets. For example, the wall material can be stainless steel or color-coated steel plate, and the frame material must meet load-bearing standards.
- Price Terms: The total price should include all costs such as equipment fees, transportation fees, installation and commissioning fees, and taxes to avoid subsequent disputes. For example, the contract can stipulate, "The total price is RMB XX, inclusive of all costs."
III. Quality and Warranty
- Quality Standards: The product must comply with current national and industry standards and be provided with a quality inspection certificate. For example, the waterproof rating must reach IPX4, and the ventilation system must ensure an air exchange rate of at least 6 times per hour.
- Warranty Period: From the date of acceptance, Party A must provide free repair or replacement services for a certain period (such as 12 months). Beyond the warranty period, lifelong paid maintenance services will be provided, charging only cost fees.
IV. Delivery and Installation
- Delivery Time and Location: Clearly specify the delivery deadline (such as within 30 working days after contract signing) and the location designated by Party B.
- Transportation Risks: Any damage or loss during transportation shall be repaired or replenished by Party A.
- Installation and Commissioning: Party A must complete installation and commissioning within the specified time after delivery. Both parties shall jointly conduct acceptance, and acceptance shall be deemed complete upon successful inspection.
V. Payment Terms
- Advance Payment: After contract signing, Party B shall pay a certain percentage as an advance payment (such as 30%).
- Acceptance Payment: After installation and commissioning are completed and accepted, payment shall be made up to 95% of the total contract price.
- Warranty Deposit: The remaining 5% shall be retained as a warranty deposit, which will be paid after the warranty period expires without any quality issues. Party A must provide a legal invoice before receiving payment.
VI. Liability for Breach of Contract
- If Party A fails to deliver on time or the product is non-compliant, Party B has the right to request a return or claim compensation.
- If Party B fails to pay on time, Party A has the right to terminate the contract and claim penalties.
- Dispute Resolution Method: Prioritize negotiation; if negotiation fails, a lawsuit can be filed with the court at the contract signing location.
VII. Other Terms The contract shall be made in duplicate, with both parties signing and stamping to take effect. Any unaddressed matters may be supplemented by separate agreements.
