Contract for Sale of Container-Style Housing

Admin September 16, 2026

The contract for the sale of container-style housing should clearly define the nature of the contract, the details of its terms, and the jurisdictional agreement to avoid disputes and safeguard rights and interests.

I. Definition of Contract Nature

The assembly-type container sales and installation contract is generally recognized as a contract for work rather than a construction contract for engineering projects. According to Supreme Court precedents, in such contracts, the seller's primary obligations are to provide containers, accessories, and transportation and installation services. The resulting movable prefabricated houses are distinct from real estate projects and thus do not fall under the exclusive jurisdiction provisions for real estate disputes. This point should be clarified at the time of contract signing to avoid subsequent jurisdictional disputes.

II. Key Contract Terms

  1. Description of Subject Matter: Clearly list the model, specifications, quantity, unit price, and total price of the container-style housing to ensure both parties have no ambiguity regarding the transaction subject.
  2. Delivery and Acceptance: Agree on a specific delivery location, time, and acceptance criteria. Acceptance should be conducted according to the quality standards specified in the contract. If quality issues are found, the buyer should notify the seller in writing within the specified period, and the seller should promptly repair or replace the items.
  3. Payment Terms: Clearly define payment milestones and proportions, such as the payment times and conditions for down payments, progress payments, and final payments. Additionally, a late payment penalty clause can be agreed upon to encourage timely payment by the buyer.
  4. Liability for Breach of Contract: Specify in detail the circumstances of breach by both parties and the corresponding compensation liabilities, including but not limited to late payment, late delivery, and quality issues.

III. Jurisdictional Agreement

The contract should clearly specify the method of dispute resolution and the jurisdictional court. According to Supreme Court precedents, if the contract is recognized as a contract for work, jurisdiction should be determined in accordance with general contract disputes rather than exclusive jurisdiction for real estate disputes. Therefore, both parties can negotiate and agree to have the court located at the seller's place, the buyer's place, or the place of contract performance, or any other location with a practical connection to the dispute, exercise jurisdiction.
