Sales Contract for Mobile Toilets

Admin September 21, 2026

The sales contract for mobile toilets should include the following core clauses to ensure the rights and interests of both parties and compliance with the transaction:

I. Contract Parties Clearly specify the information of both Party A and Party B, including names, legal representatives, addresses, and contact details. For example, Party A is the manufacturer or seller of mobile toilets, and Party B is the purchaser (such as government agencies or scenic area management entities). It is essential to ensure that the party information is authentic and valid to avoid disputes arising from unclear parties.

II. Product Details

  1. Product Name and Specifications: Specify the exact model (e.g., "Eco-friendly single mobile toilet, dimensions 2m×1.5m×2.8m") and clearly define key parameters such as materials (e.g., stainless steel frame, fiberglass walls) and functions (e.g., water-saving, intelligent ventilation).
  2. Quantity and Price: Clearly state the purchase quantity (e.g., "10 units") and unit price. The total price should include all costs such as equipment fees, transportation fees, installation and commissioning fees, and taxes to avoid disputes over additional charges later. For example, a contract with a total price of 147,800 yuan includes full exhibition support services.

III. Quality Standards and Warranty

  1. Compliance: The product must comply with national and industry standards (e.g., GB/T 18092-2008 "Non-flush Sanitary Toilets") and be accompanied by a quality inspection certificate.
  2. Performance Requirements: Specify performance indicators according to Party B's needs, such as waterproof rating, fire rating, and ventilation efficiency.
  3. Warranty Period: Typically, free repair or replacement is provided within 12-24 months from the date of acceptance. After the warranty period, lifelong paid services are available. For example, the contract for the Kunming South Asia Expo specifies full exhibition support, demonstrating a commitment to quality during short-term high-intensity use.

IV. Delivery and Installation

  1. Delivery Time: Deliver to Party B's designated location within 5-15 working days after contract signing. Late delivery requires daily违约金 (liquidated damages).
  2. Transportation Responsibility: Party A bears the transportation risks and costs. Damaged or lost goods must be repaired or replenished within 48 hours.
  3. Installation and Commissioning: Complete installation within 3-7 working days after arrival. Both parties jointly inspect and sign an acceptance report.

V. Payment Terms

  1. Advance Payment: Pay 30% of the total contract amount within 3-5 working days after contract signing.
  2. Acceptance Payment: Pay 60% after installation and commissioning are accepted, with a full invoice provided.
  3. Warranty Deposit: The remaining 10% serves as a warranty deposit, paid in full without interest after the warranty period expires without quality issues.

VI. Acceptance and Dispute Resolution Acceptance is based on the quality standards specified in the contract, including materials, specifications, and performance indicators. In case of disputes, both parties can resolve them through negotiation or file a lawsuit with the People's Court at the contract signing location in accordance with the Civil Code of the People's Republic of China.

VII. Other Clauses Party A must provide a valid invoice before receiving payment; otherwise, Party B has the right to refuse payment and is not liable for breach of contract. The contract can refer to actual cases, such as the customized mobile toilet sales services provided by Shanghai Shijie Company for city squares and tourist areas, to ensure that the clauses are tailored to application scenarios.
