Mobile Toilet Factory Handover Agreement

Admin October 05, 2026

The mobile toilet factory handover agreement should include the following core elements. Specific terms should be adjusted according to the actual nature of the transaction and reviewed by legal professionals:

I. Agreement Parties Clearly specify the full names and identity information of Party A (the transferring party/assignor) and Party B (the receiving party/assignee), such as company names, legal representatives, or natural person names, ensuring that the subject qualifications are legally valid.

II. Handover Subject

  1. Basic Information: Detailed information about the specific location, building area, land use term, and property certificate number of the mobile toilet factory should be listed, for example, "Located at No. XX Road, XX District, XX City, with a building area of 500 square meters, a land use term until 2050, and a property certificate number of XX No. XX".
  2. Scope of Handover: This includes the factory building, land use rights, supporting facilities (such as piping systems and sewage disposal equipment), related equipment (such as the main body of the mobile toilet and cleaning tools), and technical documents (construction drawings, facility and equipment lists, maintenance records, user manuals, etc.). A detailed list should be attached as an appendix.

III. Handover Conditions

  1. Clear Property Rights: Party A must ensure that the handover subject is free from any creditor-debt disputes or ownership controversies, such as not being mortgaged, seized, or involving third-party rights.
  2. Quality Standards: Facilities and equipment must comply with national and local construction standards and hygiene standards (such as GB/T 18973-2022 "Classification and Grading of Quality for Tourist Toilets"). Renovation projects must pass inspections and obtain inspection reports.
  3. Receiving Obligations: Party B must accept the subject as agreed in the agreement and assume subsequent management and maintenance responsibilities, such as regular cleaning and equipment inspections.

IV. Handover Procedures

  1. Submission of Documents: Party A must provide a handover application and complete documents (such as facility lists, inspection reports, and property certificates) in advance.
  2. On-site Handover: Both parties shall jointly conduct an on-site inspection and sign a handover confirmation or acceptance opinion after confirming that the facilities are intact and undamaged, for example, "Both parties confirm that the main body of the mobile toilet is undamaged and the piping system is functioning normally".
  3. Time Nodes: Clearly specify the handover deadline, such as "Completion of handover within 10 days after the agreement comes into effect" or "Delivery within 5 days after Party B pays the full amount".

V. Cost Allocation

  1. Transfer Price: If the transfer is compensated, the total price, payment method (such as a 30% deposit + 70% balance), and payment timeline (such as installment payments or a lump sum payment) must be specified.
  2. Tax Responsibilities: Property transfer taxes (such as deed tax and stamp duty) are usually borne by Party B and should be noted in the agreement.

VI. Liability for Breach of Contract

  1. Party A's Breach: If Party A fails to hand over on time or if the subject has defects (such as equipment failure or property disputes), Party A must pay a penalty (such as 500 yuan per day) or compensate Party B for actual losses.
  2. Party B's Breach: If Party B fails to pay on time or fails to fulfill management obligations (such as unauthorized alteration of use or failure to perform timely maintenance), Party B must compensate Party A for losses or pay a penalty.

VII. Dispute Resolution Both parties shall prioritize negotiation to resolve disputes. If negotiation fails, the dispute may be submitted to the court in Party A's location or an agreed-upon court for litigation, for example, "Disputes arising from this agreement shall be governed by the People's Court of XX District, XX City".

VIII. Other Terms

  1. Matters not covered in the agreement may be supplemented separately. The agreement shall be made in duplicate, with each party holding one copy.
  2. If commercial secrets are involved, confidentiality obligations must be agreed upon (such as not disclosing technical documents to third parties).
