Mobile Toilet Factory Building Transfer Contract
The mobile toilet factory building transfer contract should include the following core clauses to ensure the legality and effectiveness of the transaction and clarify the rights and responsibilities of both parties:

I. Basic Information of the Factory Building The geographical location, specific address, building area, land use term (start and end dates), land use right certificate number, and real estate certificate number of the factory building should be clearly specified. The structure of the factory building (such as steel structure, brick-concrete structure) and supporting facilities (water, electricity, sewage systems, etc.) should be listed in detail, and it should be confirmed that the property rights are clear and free of disputes. This clause is the foundation of the contract and directly affects the legality of the transaction. For example, if the land is collectively owned or there is a mortgage, supplementary explanations and agreed-upon handling methods are required.
II. Transfer Content and Compliance Party A shall transfer the factory building and its ancillary facilities (buildings, land use rights, equipment, etc.) as a whole and ensure that the transferred subject matter complies with national laws and regulations without any illegal or non-compliant behavior. If the factory building involves special requirements such as environmental protection approvals and fire safety inspections, it should be clearly stated in the contract that Party A has fulfilled the relevant obligations to avoid the risk of administrative penalties for Party B during subsequent use.
III. Transfer Price and Payment Method The total price (including the amount in words), deposit ratio (such as paying a 20% deposit within 5 working days after the contract is signed), final payment time (such as paying off within 10 working days after delivery), and payment method (bank transfer with account information specified) should be agreed upon. It is recommended to clearly state that Party A shall issue a legal receipt or invoice after receiving the payment to avoid tax disputes.
IV. Delivery and Acceptance Party A shall deliver the factory building within the agreed working days after Party B pays off the full amount and provide a facility list for Party B's acceptance. If there is a delay in delivery, the liquidated damages standard (such as 500 yuan per day) should be agreed upon to urge Party A to fulfill the contract. If Party B finds any damage or missing facilities during acceptance, it may request Party A to repair or compensate.
V. Property Right Transfer and Tax Payment Responsibility Party A shall assist Party B in handling the transfer procedures, and Party B shall complete the transfer within the agreed working days after delivery. The party responsible for paying the transfer taxes should be clearly agreed upon (such as "borne by Party B" or "borne by each party according to national regulations") to avoid subsequent disputes. If it involves collectively owned land or special approval procedures, supplementary clauses should be added or professional institutions should be consulted.
VI. Liability for Breach of Contract and Dispute Resolution Both parties shall be liable for compensation in case of breach of contract, and the liquidated damages standard should be agreed upon (such as 500 yuan per day for Party B's overdue payment and 500 yuan per day for Party A's overdue delivery). It is recommended to choose "filing a lawsuit with the court at the location of the real estate" as the dispute resolution method to improve enforcement efficiency. Matters not covered in the contract can be supplemented through a supplementary agreement to ensure that the clauses comprehensively cover transaction risks.
Precautions: Before signing, both parties should verify the property rights of the factory building, the nature of the land, and the planned use. If necessary, they should entrust a lawyer to review the contract. For large-value transactions, it is recommended to handle fund supervision or notarization procedures to further safeguard transaction security.
