Mobile Toilet Factory Building Transfer
The mobile toilet factory building transfer contract should include the following key points to ensure legal compliance and the protection of both parties' rights and interests:

1. Basic Information of the Factory Building The contract should clearly specify the geographical location, specific address, building area, land use term, and structural type of the factory building (such as steel structure or brick-concrete structure). Additionally, it is necessary to confirm that the property rights of the factory building are clear, with no债权债务 (debt and credit) disputes such as mortgages or seizures, and attach property ownership certificates as contract appendices. The specifications and current status of supporting facilities (such as water and electricity supply systems, sewage pipelines, and ventilation equipment) should also be detailed to avoid subsequent disputes.
2. Transfer Content and Compliance The scope of the transfer should cover the factory building, land use rights, supporting facilities, and related equipment (such as mobile toilet production equipment and testing instruments). Party A must promise that the transferred assets comply with national laws and regulations regarding environmental protection, fire safety, and building safety, and provide relevant compliance certificates. If special industry licenses (such as environmental approvals or production qualifications) are involved, the responsible party for transferring or reapplying for these licenses should be clearly specified.
3. Transfer Price and Payment Method The contract should specify the total transfer amount and agree on payment milestones: Party B should pay a deposit (usually 20%-30% of the total price) within X working days after the contract is signed, and the remaining amount should be paid in full within X working days after the factory building is delivered. It is recommended to use bank transfer as the payment method and specify the recipient's account information to ensure traceability of funds.
4. Factory Building Delivery and Acceptance Party A should complete the delivery within X working days after Party B pays the full amount. During delivery, both parties should conduct item-by-item acceptance according to the Facility and Equipment List attached to the contract. If Party A causes a delay in delivery, a penalty of X% of the transfer amount should be paid for each day of delay; if the delay exceeds X days, Party B has the right to terminate the contract and claim compensation for losses.
5. Property Rights Transfer and Tax Burden Party A is obligated to assist Party B in handling the transfer procedures for land use rights and building property rights. Party B should initiate the transfer process within X working days after delivery. The taxes and fees incurred during the transfer (such as deed tax and stamp duty) shall, in principle, be borne by Party B, but the contract may specify ways to share the burden under special circumstances.
6. Confidentiality Clause Both parties should keep the contract content, factory building technical parameters, customer information, etc., confidential. The confidentiality period shall last from the date of contract signing until X years after the factory building is delivered. The party that violates the confidentiality obligation shall compensate the other party for the losses incurred thereby.
7. Liability for Breach of Contract If Party B fails to make the payment on schedule, Party A has the right to terminate the contract and confiscate the deposit; if Party A fails to deliver on schedule or conceals property rights defects, Party B may terminate the contract and request double the return of the deposit or compensation for actual losses. The contract should specify the method for calculating losses (such as direct losses and expected profit losses) to enhance operability.
