Prefabricated Container Sales and Installation Contract

• Contract Nature: Although named as a sales contract, it may be essentially recognized as a construction engineering contract. For example, in the "Container Sales Contract" signed between Jiangxi Wu Container Co., Ltd. and Guangdong Chuang Construction Labor Service Co., Ltd., it was stipulated that Wu Company's main obligation was to build container houses for Chuang Company. The court held that this contract was essentially a construction engineering contract, and the cause of action should be a construction engineering contract dispute.
• Jurisdiction Regulations: If recognized as a construction engineering contract dispute, jurisdiction should be determined in accordance with real estate disputes. In the above-mentioned case, the installation location of the container houses involved in the contract was Ningyuan County, Hunan Province, so the court held that this case should be under the jurisdiction of the People's Court of Ningyuan County, Hunan Province. However, there is also an opinion that a prefabricated container sales and installation contract belongs to a work contract, and the movable prefabricated houses formed after installation are different from real estate projects. Disputes arising from the performance of the contract do not apply to the exclusive jurisdiction regulations for real estate disputes.

Container House Lease Contract

• Legal Nature: There is no clear legal concept of container houses. They are called container houses because they have functions such as living and office work. In the construction process, they adopt the "factory production + on-site installation" model and are movable movable property. However, in judicial practice, their movable nature is generally avoided or weakened, and they are treated as "houses" with general housing attributes.
• Legal Application: When dealing with issues such as rent, contract validity, and decoration losses, the relevant provisions of the "Interpretation of the Supreme People's Court on Several Issues Concerning the Trial of Disputes over Urban House Lease Contracts" shall apply. For example, in the house lease contract dispute between Franch (Shanghai) Technology Co., Ltd. and Shanghai Wisdom Bay Investment Management Co., Ltd., the court recognized the relevant contract as a house lease contract and applied the above interpretation.

Container Ship Construction Contract

• Contract Content: It mainly involves the construction of ships, including ship specifications, performance, delivery time, contract amount, etc. For example, Ningbo Ocean Overseas Company signed four tripartite container ship construction contracts, with each contract involving the construction of one 2700TEU (36,900 deadweight tons) container ship and each contract amounting to 296 million cross-border RMB.
• Contract Entities: It usually involves shipbuilding enterprises, shipowners, and possibly trading companies, etc. For example, CSSC Hudong-Zhonghua Shipbuilding (Group) Co., Ltd., in joint venture with CSSC Trading, signed a contract with OOCL (International) Limited for the construction of twelve 13600TEU LNG dual-fuel container ships.
